License Agreement for “Maid Iva Hellock” (also known as “Maid Iva Hellock 1.0.vrm”)

1. Parties.

This License Agreement (“Agreement”) is entered into between:
  • Licensor: Kumazaki Nori (alias), owner of the YouTube channel https://www.youtube.com/@KumazakiNori, and legal rights holder of the Licensed Material,
  • Character Rights: The VRM model represents Iva Hellock, a virtual YouTuber (VTuber) character, owner of the YouTube channel, https://www.youtube.com/@iva_hellock, whose likeness, personality, and branding are protected under this Agreement.
  • Original Design Credit: The original character design was created by Rin9.

Collectively referred to as the Rights Holders.

  • Licensee: Any individual person, group, organization, or entity who downloads, accesses, uses, or otherwise interacts with the Model, whether directly or indirectly, under the terms of this Agreement.

2. Licensed Material

The licensed material under this Agreement is the VRM 3D model file titled:

“Maid Iva Hellock”, also known as “Maid Iva Hellock 1.0.vrm” (“Licensed Material”).

3. Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable, revocable license to use the Licensed Material under the terms and conditions set forth in this Agreement.

4. Permitted Uses

The Licensed Material may be used for:
  • Personal, non-commercial use.
  • Limited commercial use as follows:
    • Live streaming that accepts donations, tips, or similar voluntary contributions.
    • Subscription or membership programs where the Licensed Material is used as part of the content.
    • Monetized video content on platforms such as YouTube, Twitch, TikTok, or similar services that allow advertising revenue, provided such use complies with the platform’s own policies.

5. Prohibited Uses

The Licensee is strictly prohibited from:
  • AI Training Ban: Using the Licensed Material in any dataset, training process, or system intended for artificial intelligence or machine learning.
  • No Sublicensing: The Licensed Material may not be sublicensed, assigned, rented, or otherwise transferred to any third party.
  • Takedown Right: The Licensor reserves the absolute right to demand removal of any content or derivative works using the Licensed Material, and the Licensee must comply within seven (7) days.
  • No Platform-Violation Loophole: The Licensed Material may not be used in any way that violates the terms of service of any platform where it appears, even if such use might otherwise be permissible under this Agreement.
  • No Indirect Commercial Benefit: The Licensed Material may not be used in any way that indirectly generates commercial value outside the permitted uses above.
  • Ban on Corporate Use: Corporations, companies, and other legal entities are prohibited from using the Licensed Material in any form.
  • No Physical Manufacture: The Licensed Material, or any derivative work thereof, may not be used to produce physical merchandise, figurines, or any other tangible product for sale or distribution.
  • No Third-Party Use: The Licensee may not permit others to use the Licensed Material under their account or in their stead.
  • No Political Use: The Licensed Material may not be used for political messaging, campaigning, or any political context whatsoever.
  • No Religion Activities: The Licensed Materials may not be used to promote, endorse, or engage in any religious activities or ideologies.
  • No Redistribution: The Licensed Material may not be redistributed, re-uploaded, or otherwise made available for download by others.
The Licensee shall not use the Licensed Materials for purposes that are obscene, defamatory, infringing, hateful, discriminatory, or otherwise unlawful. The Licensed Materials may not be used in a manner that misleads others into believing the Licensor or the Right Holders endorses any product, service, opinion, or ideology without prior written consent.

6. Intellectual Property Rights

  • All rights, title, and interest in and to the Licensed Material remain with the Rights Holders.
  • The Licensee acquires no ownership or exclusive rights under this Agreement.
  • Any derivative works must still comply with all restrictions in this Agreement and do not transfer ownership.

7. Reservation of Rights

All rights in and to the Model, its character, likeness, associated names, visual design, and derivative works not expressly granted to the Licensee under this Agreement are hereby reserved by the respective Right Holders. No license or rights shall be implied by conduct, custom, or otherwise.

8. Limitation of Liability

This Agreement is intended to be valid and enforceable worldwide, to the fullest extent permitted by applicable laws in each jurisdiction.

The Rights Holders may pursue legal remedies for breach of this Agreement or infringement of intellectual property rights in any court or tribunal of competent jurisdiction, in any country where the Licensed Material is used, accessed, distributed, or infringed. All rights and remedies are cumulative and may be pursued concurrently in multiple jurisdictions.

The Licensee agrees that this Agreement and the rights it protects shall be enforceable under the applicable intellectual property and contract laws of all countries where infringement occurs.

9. Attribution

When attribution is required under this Agreement, the following credit must be displayed clearly in all published works:

10. Termination

The Licensor may terminate this Agreement immediately upon written notice if the Licensee breaches any term. Upon termination, the Licensee must immediately cease all use of the Licensed Material and destroy all copies in their possession.

11. Limitation of Liability

The Performer shall not be held liable for any damages, losses, claims, or expenses, whether direct, indirect, incidental, consequential, or otherwise, arising from the use, inability to use, or misuse of the Licensed Material. The Licensee assumes full responsibility for any and all outcomes resulting from the use of the Licensed Material.

12. Acknowledgement

By using, downloading, or otherwise accessing the Licensed Material, the Licensee acknowledges that they have read, understood, and agreed to be bound by the terms of this Agreement.
